LTT and VAT on Welsh Commercial Property
PropertyVAT Team · Updated · 3 min read
Wales is the third transaction tax regime in the UK, and the one most often missed by buyers operating from England — partly because the border is less salient than Scotland's, and partly because the change is relatively recent.
What is the same
VAT is UK-wide. Everything in the VAT analysis applies in Wales identically:
- Commercial property is exempt by default
- An option to tax makes it standard-rated at 20%
- New commercial buildings are standard-rated regardless
- TOGC can take a sale outside the scope of VAT
- Recovery depends on registration and taxable use
So an opted industrial unit in Newport carries exactly the same VAT position, funding requirement and reclaim cycle as one in Bristol.
What is different
Welsh land transactions are subject to Land Transaction Tax, administered by the Welsh Revenue Authority, not HMRC. LTT replaced SDLT for Welsh transactions from 1 April 2018.
| England and NI | Wales | |
|---|---|---|
| Tax | SDLT | LTT |
| Authority | HMRC | Welsh Revenue Authority |
| Rates set by | UK Government | Welsh Government |
| VAT in consideration | Yes | Yes |
Rates and thresholds are set independently and differ from the English scale. They also change, so confirm current bands with the Welsh Revenue Authority rather than relying on a figure from a guide.
The VAT point holds
The principle that catches buyers out in England applies in Wales too: VAT forms part of the chargeable consideration.
On an opted purchase, LTT is calculated on the price plus the VAT. You recover the VAT. You do not recover the additional LTT the VAT caused.
Which makes the TOGC question just as valuable in Wales. A successful transfer of a going concern removes the VAT from the consideration, and the transaction tax on it with it.
The practical trap
It is an administrative one rather than a tax one.
A buyer or solicitor used to the English system may file with HMRC, or calculate on the SDLT scale, or diary the wrong deadline. LTT has its own return, its own filing requirements and its own payment process.
Where a transaction straddles the border — a portfolio with properties in both countries, or land crossing the boundary — each property falls under its own regime and may need separate returns.
The UK picture
| Nation | Tax | Authority | VAT in consideration |
|---|---|---|---|
| England and Northern Ireland | SDLT | HMRC | Yes |
| Scotland | LBTT | Revenue Scotland | Yes |
| Wales | LTT | Welsh Revenue Authority | Yes |
One VAT system, three transaction taxes. The VAT analysis travels; the arithmetic around it does not.
For a Welsh purchase
- Run the VAT analysis exactly as anywhere in the UK — option to tax, new building, TOGC.
- Calculate LTT, not SDLT, and on the VAT-inclusive figure.
- Check current rates with the Welsh Revenue Authority.
- Use a solicitor familiar with LTT filing, or confirm yours is.
- On a cross-border portfolio, treat each property under its own regime.
The funding requirement for the VAT is identical. Only the tax sitting on top of it changes — and that part is permanent, so it belongs in the appraisal rather than the completion statement.
This guide is general information, not tax or legal advice. LTT rates change — confirm the current position with the Welsh Revenue Authority.
Frequently asked questions
- Do VAT rules differ in Wales?
- No. VAT is a UK-wide tax, so the option to tax, TOGC and new building rules apply in Wales exactly as elsewhere in the UK. Only the transaction tax differs.
- Is VAT part of the LTT calculation?
- Yes. As with SDLT and LBTT, VAT payable on the purchase forms part of the chargeable consideration, so an opted property attracts LTT on the VAT-inclusive figure.
- Who administers LTT?
- The Welsh Revenue Authority. Returns and payment go to them rather than to HMRC, which catches out buyers and solicitors used to the English system.
- When did Wales move away from SDLT?
- Land Transaction Tax replaced SDLT for Welsh land transactions from 1 April 2018. Transactions before that date fell under SDLT.
